So in keeping with the desire to move your association forward we have taken specific advice relating to the operating structure of your association. In recent years it has become apparent that the old Trustee based system is no longer fit for purpose. The banks don't like it and there has been numerous occasions of banks closing down accounts that are based on this old system. Also we have to consider the legal costs which are astronomical and ever increasing year on year. Currently we have to involve lawyers each & every occasion that a Trustee retires or leaves your association. Then we have to consider the ownership of property & the signing of legal stuff on your behalf. Currently for instance we have property & leases held in trust by named individuals (Trustees of your association) This is problematic as every time someone moves on we have to involve lawyers again at great expense.
We are therefore considering changing the structure of your association to a Ltd Company (Exeter Angling Association Ltd by guarantee) This will in effect make operations much smoother & your association will own everything in its own name. We can therefore dispense with repeated lawyers fees and legally we can operate as Exeter Angling Association Ltd without having to rely on personal assurances and land registry documents being held in the name of Joe Blogs Trustee Exeter Angling Association. We will also have security with banking as this is now the new norm for associations like ours.
Please read the attached advice which will for those of you that are interested give more information.
Please do ask questions and we will do our best to answer them fully.
It is a decision that you must make and we will leave this here for a week for you to consider & ask any questions you may have. Our next steps would be to call a special AGM where you will be given the opportunity to vote for or against your committees proposal to move Exeter Angling Association to a company ltd by guarantee.
